Margin Trading Agreement

1- يقر العميل باطلاعه على قواعد التداول بالهامش وبمسؤوليته التامة في الحصول على استشارات مهنية مسبقة وفهم المخاطر التي قد يتعرض لها جراء تداوله بالهامش والتي تشمل احتمال خسارته لبعض أو كل أمواله أو أن يتحول حسابه الى سالب اذا تعذر تسييل الأوراق المالية لأي سبب من الأسباب.

1- The client acknowledges reading Margin Trading Rules and confirms his full responsibility in obtaining prior advice and understanding the risks that he might be exposed to when practicing in margin trading, such risks may include the possibility of losing some or all of his funds or his account turning to negative if securities liquidation was not possible for any reason.

2- التداول بالهامش: هو قيام المجموعة للأوراق المالية (المجموعة) بدفع نسبة مئوية من القيمة السوقية للورقة المالية التي تقوم بشرائها لصالح العميل وفقا للنسبة المتفق عليها في هذا العقد و بما لا يتجاوز النسبة المقررة من الجهات التنظيمية.

2- In the Margin Trading activity, The Group Securities Company (The Group) Pays a percentage of the market value of securities which it buys in favor of the client in accordance with the percentage agreed in this agreement and to a limit not exceeding the percentage specified by the regulatory authorities.

3- يقر العميل بأن جميع الأوراق المالية والرصيد النقدي المتوفرة في حساب التداول بالهامش هي ضمانات للدين المستحق للمجموعة.

3- The client acknowledges that all securities and cash balance available in his margin trading account are collaterals for covering amounts due to The Group.

4- تبقى الاوراق المالية المسجلة باسم العميل في حساب التداول بالهامش ملكا له يتعلق بها حق المجموعة دون قيد أو شرط، ويضمن العميل سلامة الحساب، وليس له أن يأتي عملاً خارج التداول ينقص من قيمة حقوق المجموعة.

4- Securities recorded in the client's name in the margin trading account shall remain his property without prejudice to unconditional rights of The Group, the client ensures the safety of his account, and he must not practice any activity out of the trading that might decrease the value of The Group's rights.

5- يحق للعميل قبض الأرباح و العوائد عند استحقاقها و التصويت في الجمعيات العمومية.

5- The client has the right to receive dividends and returns when due and he is entitled to vote in the general assemblies.

6- تحدد نسبة الهامش بما لا يزيد عن المقرر من الجهات التنظيمية ويخطر العميل بتغيير نسبة الهامش بالوسائل المعتمدة.

6-Margin percentage shall be set at a limit not exceeding the limit set by regulators and the client shall be notified of any change in margin percentage via the approved means.

7- يلتزم العميل عند انخفاض القيمة السوقية لمحفظته بالمحافظة على نسبة هامش الصيانة المشار إليها أعلاه.

7- When the market value of the client portfolio decreases, the client undertakes to ensure Maintenance Margin percentage referred to above.

8- التسييل الإجباري: في حال انخفاض نسبة هامش الصيانة عن الحد المشار إليه أعلاه، وبعد إخطار العميل بالوسائل المعتمدة وعدم الالتزام بالتغطية، يحق للمجموعة بيع أوراق مالية في حساب التداول بالهامش بما يغطي الانخفاض في نسبة هامش الصيانة و بما يحقق مصلحة العميل.

8- Compulsory Liquidation: In case the percentage of Maintenance Margin comes below the limit referred to above, and after notifying the client via the approved means and the client's noncompliance to cover, The Group has the right to sell securities in the margin trading account to cover the decrease in the percentage of Maintenance Margin in a way securing the client's interests.

9- فترة السماح: تبدأ من يوم قيام المجموعة بدفع الهامش من قيمة الورقة المالية المتداولة لصالح العميل وتنتهي بانتهاء المدة المتفق عليها والمشار إليها أعلاه، وقبل انتهاء هذه المدة يجب على العميل أن يسدد للمجموعة كامل قيمة الهامش أو تسييل أوراق مالية بما يغطي قيمة الهامش. وعند عدم الالتزام بذلك، يحق للمجموعة إغلاق مراكز (بيع الشراء أو شراء البيع) في حساب التداول بالهامش بما يغطي قيمة الهامش المدفوع للعميل وبما يحقق مصلحته.

9- The Grace Period: starts from the day on which The Group pays the margin of the traded securities value in favor of the client and ends at the end of the agreed period referred to above, and before the end of this period, the client must repay to The Group the full amount of the margin or liquidate securities to cover the margin amount. Upon failure to do so, The Group shall have the right to close the positions (buy the short/sell the long) in the margin trading account to cover the amount of the margin paid to the client while securing his interests.

10- المصاريف: حسب النسبة المذكورة أعلاه.

10- Expenses: in accordance with the above mentioned percentage.

11- مدة الاتفاقية: سنة وتجدد تلقائياً، وتلغى بموجب إشعار بالوسائل المعتمدة من أحد الطرفين دون الإخلال بحقوق الطرف الآخر، وفي جميع الأحوال تنتهى هذه الاتفاقية بين الطرفين اعتباراً من اليوم الذي يتم فيه غلق حساب العميل المخصص للتداول بالهامش.

11- Agreement Duration: This agreement is for one year, automatically renewed and canceled by a notice sent from one party to the other via the approved means without prejudice to the rights of the other party, and in all cases, this agreement between the parties ends on the day on which the client's account allocated for margin trading is closed.
